The Company by Stephen Bown Pdf

NATIONAL BESTSELLER A thrilling new telling of the story of modern Canada's origins. The story of the Hudson's Bay Company, dramatic and adventurous and complex, is the story of modern Canada's creation. And yet it hasn't been told in a book for over thirty years, and never in such depth and vivid detail as in Stephen R. Bown's exciting new telling. The Company started out small in 1670, trading practical manufactured goods for furs with the Indigenous inhabitants of inland subarctic Canada. Controlled by a handful of English aristocrats, it expanded into a powerful political force that ruled the lives of many thousands of people--from the lowlands south and west of Hudson Bay, to the tundra, the great plains, the Rocky Mountains and the Pacific northwest. It transformed the culture and economy of many Indigenous groups and ended up as the most important political and economic force in northern and western North America. When the Company was faced with competition from French traders in the 1780s, the result was a bloody corporate battle, the coming of Governor George Simpson--one of the greatest villains in Canadian history--and the Company assuming political control and ruthless dominance. By the time its monopoly was rescinded after two hundred years, the Hudson's Bay Company had reworked the entire northern North American world. Stephen R. Bown has a scholar's profound knowledge and understanding of the Company's history, but wears his learning lightly in a narrative as compelling, and rich in well-drawn characters, as a page-turning novel.

Culture, Communication, and National Identity by Richard Collins Pdf

?There can be no political sovereignty without culture sovereignty.' So argued the CBC in 1985 in its evidence to the Caplan/Sauvageau Task Force on Broadcasting Policy. Richard Collins challenges this assumption. He argues in this study of nationalism and Canadian television policy that Canada's political sovereignty depends much less on Canadian content in television than has generally been accepted. His analysis focuses on television drama, at the centre of television policy in the 1980s. Collins questions the conventional image of Canada as a weak national entity undermined by its population's predilection for foreign television. Rather, he argues, Canada is held together, not by a shared repertoire of symbols, a national culture, but by other social forces, notably political institutions. Collins maintains that important advantages actually and potentially flow from Canada's wear national symbolic culture. Rethinking the relationships between television and society in Canada may yield a more successful broadcasting policy, more popular television programming, and a better understanding of the links between culture and the body politic. As the European Community moves closer to political unity, the Canadian case may become more relevant to Europe, which, Collins suggests, already fears the ?Canadianization? of its television. He maintains that a European multilingual society, without a shared culture or common European audio-visual sphere and with viewers watching foreign television, can survive successfully as a political entity ? just as Canada has.

Turn Up the Contrast by Mary Jane Miller Pdf

From Shakespeare to cop shows, sitcoms to docudramas, for over three decades the CBC has presented viewers with every variety of television drama and has become Canada's closest equivalent to a national theatre. Turn Up the Contrast is the first book to explore the content of Canadian television drama and is both a critical analysis and a survey history of how Canadians have used the medium to tell themselves their own stories. As a part of her research, Mary Jane Miller watched thousands of hours of television, sampling series and viewing in their entirety shorter programs such as movies and mini-series. Asking a variety of questions, she selected a number of programs for detailed analysis, and devotees of The Beachcombers, King of Kensington, Seeing Things, Cariboo Country, Wojeck or A Gift to Last will be pleased to find their favourites among those discussed at length. Representing Corporate Officers and Directors and LLC Managers, Third Edition (formerly titled Representing Corporate Officers, Directors, Managers, and Trustees) is a guide to the practical aspects of corporate governance for attorneys, corporate officers and directors, LLC managers, and trustees. Following the repercussions of past corporate and accounting scandals, new legislation, rules, and standards by governmental bodies and society have greatly increased the focus on the responsibilities and liabilities of directors, officers, managers, and trustees. Increased SEC oversight, new NYSE and NASDAQ listing standards, new cybersecurity compliance guidance, new fiduciary and other duties, and new criminal penalties have all changed the landscape for those who control corporations. By logically laying out the steps to safe corporate governance, the analysis, cases, tables, and checklists guide the veteran and neophyte alike. Representing Corporate Officers and Directors and LLC Managers tells you what to look for...what to look out for...and what steps to take to protect your corporate clients in today's harsh regulatory environment. It's the only up-to-date work of its kind to offer both in-depth analysis and practical guidance on key aspects of this critically important area. This updated Third Edition thoroughly covers: Directors' duties of care and loyalty-- including the different standards which have been imposed on directors regarding the duty of care...the duty of loyalty...the business judgment rule... when directors are entitled to rely on the advice of others...improperly influencing audits under the Sarbanes-Oxley Act... improper distributions...and more. Conflicts of interest--with examples of conflict of interest transactions, and discussion of loans to or by directors and officers...secret profits...and the duty to safeguard confidential or inside information-- plus, how certain transactions considered improper can be ratified and thus become legitimate. Federal securities laws--including everything from overviews of the laws, the SEC, and securities themselves-- to jurisdiction, pleading, remedies, and defenses in securities cases... criminal penalties...and attorneys' responsibilities regarding liability under Sarbanes-Oxley. Indemnification and insurance-- with discussion of mandatory and permissive indemnification and the scope of indemnification in various states... when a director may be indemnified even if not wholly successful in defense of an action...directors' and officers' liability insurance...types and extent of insurance coverage...tax law treatment...and exclusions. Tender offers--including antitakeover measures, two-tier and squeeze-out mergers, and golden parachute agreements, poison pill plans, and greenmail...potential liability in tender offers...and implementing mergers and acquisitions, with securities law, antitrust, tax, accounting, and labor law considerations.
