Cross-Border Mergers within the EU by Harm Van den Broek Pdf

As a result of the Regulation on the European Company and the Tenth Council Directive, all Member States are obliged to finally implement the merger arrangements of the 1990 Fiscal Merger Directive, forcefully raising the question of the tax consequences of cross-border mergers. This book is the first to focus in such an extended way on the meaning of the 1990 Directive’s tax provisions in this context. With unique and valuable insights drawn from legislative history documents never examined before, its detailed commentary leads to sound and practical recommendations on cross-border mergers within the EU from a tax law perspective. This book also examines to what extent taxation as a result of mergers is in line with the freedom of establishment and the free movement of capital. Clearly analysing the dangers of advance taxation, double taxation, double non taxation, and additional tax claims as a result of a merger, the book deals with such core elements as the following: the aims of cross-border merger relief schemes; the aims of cross-border merger relief schemes; transfer of losses; exit taxation; taxation of dividend withholding tax; employee participation rights; tax standing of creditors of a transferring company; and taxation of foreign shareholders. With its new insights on tax aspects of mergers within the European Union, this book will be of special value to merging companies and their shareholders, to tax administrations and courts, and to legislators who must properly implement the Merger Directive.

Globalizing Cricket by Dominic Malcolm Pdf

This book is available as open access through the Bloomsbury Open Access programme and is available on www.bloomsburycollections.com. Globalizing Cricket examines the global role of the sport - how it developed and spread around the world. The book explores the origins of cricket in the eighteenth century, its establishment as England's national game in the nineteenth, the successful (Caribbean) and unsuccessful (American) diffusion of cricket as part of the development of the British Empire and its role in structuring contemporary identities amongst and between the English, the British and postcolonial communities. Whilst empirically focused on the sport itself, the book addresses broader issues such as social development, imperialism, race, diaspora and national identities. Tracing the beginnings of cricket as a 'folk game' through to the present, it draws together these different strands to examine the meaning and social significance of the modern game. This book is a must-read for anyone interested in the role of sport in both colonial and post-colonial periods; the history and peculiarities of English national identity; or simply intrigued by the game and its history.

Life in Post-War Britain by Anton Rippon,Nicola Rippon Pdf

On New Year’s Day 1946, the people of Britain desperately wanted to look forward to a new and better life. The Second World War had ended four months earlier with the formal surrender of Imperial Japan. The war in Europe had been over for eight months. But, upon announcing to Parliament the German surrender, Winston Churchill had told the nation: “Let us not forget the toils and efforts that lie ahead.” In 1946, Clement Attlee, leader of the newly elected Labour Government, underlined Churchill’s words, warning the nation that victory over Nazi Germany and Japan had heralded not a future of plenty – but one of greater austerity. The huge debt left by the war had crippled the British economy. Those who fought in the Great War had been promised a land fit for heroes. That had not happened. After another world war, people now expected a better life than the poverty and hardship that had characterised much of the 1920s and 1930s, and Attlee pledged to end society’s five “Giant Evils” – squalor, ignorance, want, idleness, and disease – and to provide for the people “from the cradle to the grave”. It was going to be far from easy. Life in Post-War Britain: "Toils and Efforts Ahead" tells what it was like to live in Britain as the nation battled to recover while still facing many hardships, including food rationing that, ironically, was to become more severe than that in wartime. This was a unique time in British history and Life in Post-War Britain: “Toils and Efforts Ahead” captures the mood of the nation, examining all the great events of the post-war years and the effect that they had on the everyday life of the people who had won a war but who now faced an uncertain peace both at home and abroad.

Freedom of Establishment and Private International Law for Corporations by Paschalis Paschalidis Pdf

Freedom of establishment is one of the four fundamental freedoms of the European Union. The principle is that natural persons who are European Union Citizens, and legal entities formed in accordance with the law of a Member State and having its registered office, central administration or principal place of business within the EU, may take up economic activity in any Member State in a stable and continuous form regardless of nationality or mode of incorporation. This book examines the way in which EU law has influenced how national courts in Europe assert jurisdiction in cross-border corporate disputes and insolvencies, and the mechanism which allows them to decide which national law should apply to the substance of the dispute. The book also considers the potential for EU Member States to compete for devising national corporate and insolvency legislation that will attract incorporations or insolvencies. Central to the book is the concept of national choice of law. In considering the impact of freedom of establishment on private international law for corporations, the book uniquely analyses both corporate and insolvency law together, presenting the topic in the broadest possible sense. Importantly, the doctrine of abuse in corporate and insolvency law is covered, raising the question of 'forum shopping' and regulatory competition which underpins the intersection between freedom of establishment and private international law. Through examination of the most recent and leading judgments of the European Court of Justice in Centros and Cadbury Schweppes, the book derives certain conclusions as to the operation of the doctrine of abuse and the limits thereof in the context of freedom of establishment. Being the first in the field to examine the leading ECJ cases of Inspire Art, Sevic and Cartesio regarding the real seat doctrine, the book makes the judgment that there is no incompatibility as such between the doctrine and the freedom of establishment. Ultimately, the book analyses to what extent diversity in the corporate and insolvency laws of the Member States should be preserved, so as to encourage competition between jurisdictions in Europe.

Borrowed Time by Roy Hattersley Pdf

Called an uneasy peace, the twenty years between the wars were a time of turmoil - Britain saw a general strike and the worst economic crisis in its history, armed rebellion in Ireland and open revolt in India, a Prime Minister's resignation and the King's abdication. Crisis followed crisis until Britain was engulfed in the Second World War - a catastrophe that could have been foreseen, possibly even prevented. But there were also moments of triumph: England regained the Ashes and Britain ran to glory in the 'Chariots of Fire' Olympic Games; the BBC was born and became the envy of the free world; there was a renaissance in poetry, sculpture of genius, and cinema lightened the darkness for millions. However it is the politicians who failed who have really come to personify the interwar years - in particular Ramsey MacDonald and Stanley Baldwin. Both prime ministers were better men than history allows. And Winston Churchill? Right or wrong, success or failure, he is the irrepressible force in what he called the 'years for the locusts to eat'. Hattersley's assessment of this doomed era is illuminating, entertaining and bold.

The Form of News by Kevin G. Barnhurst,John Nerone Pdf

This book takes a fresh look at the role of the newspaper in United States civic culture. Unlike other histories which focus only on the content of newspapers, this book digs deeper into ways of writing, systems of organizing content, and genres of presentation, including typography and pictures. The authors examine how these elements have combined to give newspapers a distinctive look at every historical moment, from the colonial to the digital eras. They reveal how the changing "form of news" reflects such major social forces as the rise of mass politics, the industrial revolution, the growth of the market economy, the course of modernism, and the emergence of the Internet. Whether serving as town meeting, court of opinion, marketplace, social map, or catalog of diversions, news forms are also shown to embody cultural authority, allowing readers to see and relate to the world from a particular perspective. Including over 70 illustrations, the book explores such compelling themes as the role of news in a democratic society, the relationship between news and visual culture, and the ways newspapers have shaped the meaning of citizenship. Music of the First World War by Don Tyler Pdf

This book discusses WWI-era music in a historical context, explaining music's importance at home and abroad during WWI as well as examining what music was being sung, played, and danced to during the years prior to America's involvement in the Great War. Why was music so important to soldiers abroad during World War I? What role did music—ranging from classical to theater music, rags, and early jazz—play on the American homefront? Music of the First World War explores the tremendous importance of music during the years of the Great War—when communication technologies were extremely limited and music often took the place of connecting directly with loved ones or reminiscing via recorded images. The book's chapters cover music's contribution to the war effort; the variety of war-related songs, popular hits, and top recording artists of the war years; the music of Broadway shows and other theater productions; and important composers and lyricists. The author also explores the development of the fledgling recording industry at this time.

John Wilkes Booth: Day by Day by Arthur F. Loux Pdf

By 1865, at the age of 26, Booth had much to lose: a loving family, hosts of friends, adoring women, professional success as one of America's foremost actors, and the promise of yet more fame and fortune. Yet he formed a daring conspiracy to abduct Lincoln and barter him for Confederate prisoners of war. The Civil War ended before Booth could carry out his plan, so he assassinated the president, believing him to be a tyrant who had turned the once-proud Union into an engine of oppression that had devastated the South. This book gives a day-by-day account of Booth's complex life--from his birth May 10, 1838, to his death April 26, 1865, and the aftermath--and offers a new understanding of the crime that shocked a nation.
