Swiss Board of Directors by Marc Bauen,Silvio Venturi Pdf

This publication on the board of directors of the Swiss company limited by shares is intended for anyone practising in this area and in particular for board members, including those without legal training, who may be interested in gaining a clear insight into this field. It draws on and takes account of the leading standard works and texts on company law that deal primarily with the board of directors, together with the related legislation and legal precedent. In comparison with companies under many foreign legal systems, the Swiss company limited by shares is a highly flexible creation both in legal as well as in organisational terms. It is so adaptable that it is the chosen legal form not only for international publicly traded companies with countless subsidiaries in Switzerland and abroad but also for small and medium-sized companies (SMEs). In its conception, the book concentrates on publicly-listed companies, as these are often the groundbreakers for new organisational and operational concepts that are then used by SMEs as well. After an introductory chapter, the following topics relating to the board of directors of a Swiss company limited by shares are considered: the legal status of board members ; organisation ; powers ; representation and liability of management bodies ; loss of capital, overindebtedness and restructuring ; accountability ; insurance ; corporate governance.

About the book: Tax Planning for International Mergers, Acquisitions, Joint Ventures and Restructurings is a practical overview of key tax aspects of international transactions that have general applications, followed by twenty detailed country profiles. Transactional tax planning always is of critical importance to sound deal making. In the international arena, cross-border mergers and acquisitions continue to proliferate as companies seek to maximize global market opportunities. Whether the transaction be strategic or opportunistic, transformational or conventional expansion, third party or internal value-enhancing restructuring, it is crucial for management and counsel to develop a working knowledge of the salient features of the relevant tax law in a broad range of global jurisdictions. This book, now in its fifth edition, distils knowledge of the tax aspects involved in such transactions across international borders. What’s in this book: This book considers each jurisdiction’s handling of areas of concern in international tax planning such as: – entity classification; – structuring taxable transactions; – structuring tax-free transactions (both in domestic and cross-border transactions); – loss planning; – IP planning; – compensation arrangements; – acquisition financing; – joint venture planning; – value added tax issues; and – tax treaty usage. The experts in each country suggest solutions designed to maximize effective tax planning and satisfy compliance obligations. How this will help you: This user-friendly work assists in planning and evaluating strategies for transactions, both nationally and internationally, in single and multiple jurisdictions, as well as in implementing them. This book further allows an easy comparison of key tax aspects in major jurisdictions, thereby providing not only an easy understanding of the key structuring points in context but also critical issue-spotting as well as highlighting potential value-enhancing strategies. Addressing an important information gap in an area of widespread commercial concern, this resource helps international tax counsel, corporate and financial services attorneys, and corporate planning and compliance professionals to confidently approach challenging situations in both national and international regime. Editors: Peter H. Blessing and Ansgar A. Simon

The 43 papers in this collection, originally published from 1972 to 1987 delve into accounting, observing and exploring its functioning. They construct a basis for interrogating it in use and indeed they attempt to account for accounting. The author seeks to understand accounting, to appreciate what it is, what it does and how it does it, examining it from without rather than from within.

This Detailed Assessment of Implementation on the International Organization of Securities Commissions (IOSCO) Objectives and Principles of Securities Regulation discusses that Switzerland has made progress in addressing the recommendations from the IOSCO assessment of the 2001–2002 Financial Sector Assessment Program. In supervision, the Swiss Financial Market Supervisory Authority (FINMA) has further developed the risk-based supervisory system that it uses to determine the supervisory approach for each supervised entity. FINMA’s enforcement powers have recently been enhanced through the introduction of specific prohibitions on insider trading and market manipulation in the Federal Act on Stock Exchanges and Securities Trading. The Swiss authorities will face a significant challenge in coping with the upcoming securities regulatory overhaul. The planned framework will impact on practically all the areas of FINMA, as it is likely to require the assumption of new tasks in relation to the regulation and supervision of the issuance of unlisted securities, financial market infrastructures, independent asset managers, and conduct of business of banks and securities dealers.

Swiss Company Law by Switzerland,Bruno Becchio Pdf

This second edition follows the success of its predecessor, which was well received and respected by practitioners, academics and business people of Swiss and non-Swiss origin. It covers the changes in the company law provisions of the Swiss Code of Obligations originally adopted in 1881. The authors have reviewed and updated the entire book, including the relevant general provisions of the civil code and incorporating the 1985 revisions to the law regarding Stiftungen (foundations). A departure from the first edition is the overall emphasis on American (U.S.) legal terminology, although in a few instances reference to English (U.K.) parlance is maintained for comparative purposes. The revision of the Aktienrecht (Share Law), which represents the portions of the Code relating to the most common Swiss corporate organizational form, the Aktiengesellschaft (commonly abbreviated as AG or SA), became effective in 1992. It is primarily this event that prompted the revision of this book. The relevant sections of the Code (Arts. 620 to 763) have been fully re-translated, incorporating the revisions, together with selected relevant new provisions from other related laws. The revised translation of the statutory provisions is accompanied by an in-depth translation addressing current issues, including, besides the substance of the revision of the code, comparative aspects of both the laws of the European Union and the United States, including accounting rules. Also revised are the charts and tables, including the `synoptic tables' which have proved to be of particular value to practitioners.
