Taxation in Corporate Insolvency and Rescue by John Baldry Pdf

This title provides comprehensive and detailed information on the UK tax implications when a company becomes insolvent and has to be rescued or enters into a formal insolvency process. It covers the tax aspects of companies in liquidation, administration, different forms of receivership, and those making voluntary arrangements, and the tax consequences for their creditors, shareholders, landlords, and guarantors. It also covers the implications for a company and its creditors of restructuring debt, hive-downs, and 'pre-packs.' The basics of insolvency law for tax practitioners are explained, and the tax position is covered in detail. The seventh edition sets out the different UK insolvency procedures and options for restructuring indebted companies, and then describes the tax complications which can arise in respect of direct taxes and VAT. It also looks at the UK tax implications from an international perspective. Included are the long-awaited insolvency rules which came into effect in April 2017. These replace the Insolvency Rules 1986 and their 28 subsequent amendments. The rules have been recast to reflect modern business practice and to make the insolvency process more efficient. Taxation in Corporate Insolvency and Rescue is fully updated to reflect the latest Finance Act, the new Insolvency Rules and relevant case law, as well as the following: case law on challenges to values of creditors' debts; changes introduced by Insolvency (Amendment) Rules 2010 (within IR 2016); case law on social clubs not being entitled to enter insolvency procedures; the nature of tax claims in an insolvency (by HMRC); anti-avoidance (s. 703) amendments; substantial shareholdings amendments; de-grouping charge amendments; review of HMRC attitude to approval of CVAs; loan relationship amendments; distribution rule changes; secondary liabilities provisions; VAT bad debt relief; new company rescue provisions; international provisions such as UNCITRAL; case law review regarding jurisdiction in insolvency cases; and UK tax residence. International Insolvency Law by Paul Omar Pdf

International insolvency is a newly-established branch of the study of insolvency that owes much to the phenomenon of cross-border incorporations and the conduct of business in more than one jurisdiction. It is largely the offspring of globalization and involves looking at both law and economic rules. This book is a compendium of essays by eminent academics and practitioners in the field who trace the development of the subject, give an account of the influences of economics, legal history and private international law, and chart its relationship with finance and security issues as well as the importance of business rescue as a phenomenon. Furthermore, the essays examine how international instruments introduced in recent years function as well as how the subject itself is continually being innovated by being confronted by the challenges of other areas of law with which it becomes entangled.

Corporate Insolvency Law by Vanessa Finch Pdf

Vanessa Finch provides an interesting look at corporate insolvency laws and processes. She adopts an interdisciplinary approach to place two questions at the centre of her discussion. Are current UK laws and procedures efficient, expert, accountable and fair? Are fundamentally different conceptions of insolvency law needed for it to develop in a way that serves corporate and broader social ends? Topics considered in this wide-ranging book include different ways of financing companies, causes of corporate failure and prospects for designing rescue-friendly processes. Also examined are alternative asset distribution of failed companies, allocations of insolvency risks and effects of insolvency on a company's directors and employees. Finch argues that changes of approach are needed if insolvency law is to develop with coherence and purpose. This book will appeal to academics and students at advanced undergraduate and graduate level, and to legal practitioners throughout the common law world.

The Missing Keystone of Income Tax Treaties by Joanna Wheeler Pdf

Le site d'IBFD indique : "This thesis reveals a fundamental flaw in the OECD Model, namely that it pays no attention to the person who is liable to tax in respect of the income for which treaty benefits are claimed. This "missing keystone" causes two major problems of interpretation. One problem arises if the contracting states attribute the income to different persons; the myriad ways in which such a conflict can occur is illustrated by an extensive comparison of the domestic law of the Netherlands and the United Kingdom in this respect. This missing keystone also causes a disconnection between the two principal conditions for treaty entitlement. The treaty residence of the claimant is based on a general liability to tax in a contracting state, whereas the distributive articles focus on the ownership of the income. Interpretation problems arise if domestic law imposes a tax liability on a person who is not the owner of the income, for example under anti-avoidance legislation or a corporate group regime. In order to eliminate this fundamental flaw, the thesis proposes a "new approach" in which the criterion for treaty entitlement is liability to tax on the income, backed up by substantial connections between the income and the treaty claimant and between the treaty claimant and the residence state. The new approach is tested in various situations, many of them decided cases, and proves to give appropriate policy results while respecting the tax sovereignty of states. The thesis includes a proposal for a re-draft of the OECD Model on this basis."

Statutory Priorities in Corporate Insolvency Law by Christopher F. Symes Pdf

Who enjoys statutory preferred creditor status? What justifications exist for jurisdictions to maintain statutes that favour 'priority' creditors over other creditors and contributories? This book examines preferential debts derived from specific legislative provisions applying to corporate insolvency. In exploring the concept of preferential treatment, Statutory Priorities in Corporate Insolvency Law includes chapters that provide a doctrinal, theoretical and historical analysis of who enjoys preferred creditor status. As well as examining the traditional major categories of priorities, this work also identifies potential new categories for priority status such as environmental clean-up costs, international creditors, tort claimants and consumers among other non-consensual creditors. While the study focuses on Australian corporate insolvency law, where appropriate, comparisons are made with other common law jurisdictions, particularly the UK, Canada, New Zealand and the US.

Rescuing Companies in England and Germany by Reinhard Bork Pdf

This book examines the circumstances under which a company needs restructuring, and for which companies that would be possible given the nature of the corporation and the economic viability. It discusses the criteria for judging whether a reorganization has been a success. Bork considers the legal mechanisms involved in restructuring including the extent to which the law provides the rules for a moratorium and the rights creditors may exercise over the debtor's assets. It also tackles the legal processes and how a reorganization can be commenced. The book includes analysis of the role of management and the partners or shareholders and the extent to which either legal system assigns the decision-making powers to the right persons. It considers how each regime deals with the assets involved and whether there are rules to reverse payments made during the crisis and the possibility of a set-off claim. Other aspects considered include special rules for terminating or modifying disadvantageous contracts including contracts of employment, and costs of restructuring procedures under given legal conditions. Providing a thorough consideration of the extent to which English and German company law (including the proposed changes to German law) enhances or limits the prospects of businesses seeking to reorganize, this work offers a valuable reference source for practitioners advising companies on where to base their restructuring and gives scholars further research material concerning the remaining issues in English and German restructuring law.
