The Legal Nature of Corporations (Classic Reprint) by Ernst Freund Pdf

Excerpt from The Legal Nature of Corporations The question of the nature of corporate existence has a peculiar interest and fascination. Few writers on the subject of corporations ignore it altogether, and our courts have repeatedly enunciated their views as to what a corporation really is. The result is that our law has its accepted theory of corporate exist ence, while it can hardly be said to have such a theory with regard to the nature of contract, Obligation, or incorporeal property. If we have an accepted theory, it is worth while to examine it as to its truth. The problem of corporate existence has a much wider than Simply legal bearing. It has an even greater interest to the sociologist than to the jurist. But I have confined myself tothe corporation as a legal institution, ignoring the subject of association as a factor in economic, social, and political life. A share in the control is legally secured to all, although it may prove to be incapable of affecting the final act. Undoubtedly there is a strong element of trust in representative action. The interest of all the associates is a determining factor in controlling those who act as representatives. This is especially clear in the case of delegated representation, and boards of directors and other officers are generally considered and treated as trustees for the corporators. But it also applies to the quorum and the majority, for the security of the joint interests is the justification and therefore also the limitation of their power to represent. Should a majority act for their own benefit clearly adversely to the interests of the association, the minority would not be bound thereby. The difficulty in such cases lies not in the principle, but in the proof of its violation.1 There are, however, other elements in which the idea of a trust does not appear to be controlling. The quorum and the majority pursue interests which they feel to be their own, and they are justified in following their own discretion in judging what the common benefit requires, although the result will be the preferment of their own advantage over that of the minority. Acting in the exercise of their own rights, they are not accountable to those whom they bind by their action, though it may result in loss which might have been avoided by greater care and prudence. Above all while a trust is committed to a definite person or persons, the functions of representatives and represented in the majority rule are fluctuating and indeterminate, so that...

Private International Law of Corporations by Dr. Maria Kaurakova Pdf

This book is about the theory of corporations as subjects of private international law. It aims to show the true extent and depth of legal and jurisdictional problems that states commonly face now, dealing with allocation of cross-border corporate relations and other relations closely connected with them in the appropriate system of law and jurisdiction. This work rests on the idea that in the united but diverse and contradictory world founded upon eternal laws, law should be characterized by the same qualities. The main end of private international law should be to support these qualities of the world and law bringing order to it. This book is a manual for jurists, practitioners of law and academics, who need research covering specific legal and jurisdictional issues in a corporate sphere and probes the issue of the place of private international law of corporations in national systems of law, when viewed through institutional, scientific, practical, strategic and economic dimensions. This book examines the issues concerned with allocation of cross-border corporate relations and other relations closely connected with them in the appropriate system of law and jurisdiction resting on the idea of distinct public policy with inherent public interest. It provides a careful study of institutional, scientific, practical, strategic and economic aspects of private international law of corporations as it was, is and ought to be. This is to show what was done, what we have at present and what needs to be done in this specific area in a manner suggesting a simple and concise reasoning within the confines of scientific, systematic and historical treatment of the issue in study.

The fourth edition of the leading company law textbook, provides the most authoritative and comprehensive commentary on Irish company law following the commencement of the Companies Act 2014. The Companies Act 2014 makes the most far-reaching and fundamental changes to Irish company law in two generations, putting forward a radically different approach whereby the private company limited by shares will become the new model company. The structure of the fourth edition of this highly regarded title mirrors this new Act. The Act comprises over 1,448 Parts and represents the modern statement of the law applicable to the formation of companies, administration and management to their winding up and dissolution, incorporating the rights and duties of their officers, members and creditors. The Act commences on 1 June 2015 and introduces significant changes for companies operating in Ireland. This work has been expanded and revised to account for these legislative changes and important case law. As chairperson of the Company Law Review Group, whose recommendations greatly informed the new Act and as a leading practitioner of company law, Tom Courtney has a unique insight to the new legislation, its purpose and interpretation. The fourth edition is virtually a complete re-write and at approximately 2,900 pages it is some 400 pages longer than the last edition. Fully updated to take account of the dozens of judgments from the Irish and UK courts that have been delivered since the previous edition as well as the new statutory provisions, the fourth edition of The Law of Companies is a 'must have' for all practitioners, students and users of Irish company law.

International Corporate Personhood by Kevin Crow Pdf

This book tracks the phenomenon of international corporate personhood (ICP) in international law and explores many legal issues raised in its wake. It sketches a theory of the ICP and encourages engagement with its amorphous legal nature through reimagination of international law beyond the State, in service to humanity. The book offers two primary contributions, one descriptive and one normative. The descriptive section of the book sketches a history of the emergence of the ICP and discusses existing analogical approaches to theorizing the corporation in international law. It then turns to an analysis of the primary judicial decisions and international legal instruments that animate internationally a concept that began in U.S. domestic law. The descriptive section concludes with a list of twenty-two judge-made and text-made rights and privileges presently available to the ICP that are not available to other international legal personalities; these are later categorized into ‘active’ and ‘passive’ rights. The normative section of the book begins the shift from what is to what ought to be by sketching a theory of the ICP that – unlike existing attempts to place the corporation in international legal theory – does not rely on analogical reasoning. Rather, it adopts the Jessupian emphasis on ‘human problems’ and encourages pragmatic, solution-oriented legal analysis and interpretation, especially in arbitral tribunals and international courts where legal reasoning is frequently borrowed from domestic law and international treaty regimes. It suggests that ICPs should have ‘passive’ or procedural rights that cater to problems that can be characterized as ‘universal’ but that international law should avoid universalizing ‘active’ or substantive rights which ICPs can shape through agency. The book concludes by identifying new trajectories in law relevant to the future and evolution of the ICP. This book will be most useful to students and practitioners of international law but provides riveting material for anyone interested in understanding the phenomenon of international corporate personhood or the international law surrounding corporations more generally.
