Excerpt from A Treatise on the Law of Fraud on Its Civil Side The Introduction renders unnecessary any other extended prefatory remarks; for I assume, or rather trust, that the Introduction will be read. Indeed I cannot too strongly urge those who would use this book most effectively to read with care the Introduction, and also the opening chapter on the Definition of Fraud. The reason will be obvious, upon the reading. The second volume, which will treat of fraud under the statutes, is well in hand, and will be completed as soon as a due regard for the work may permit. The present volume is however entirely independent, of the second, and makes a book complete in itself. The authorities are cited down to about six months ago, with a few important ones (such as Blackburn V. Vigors, 12 App. Cas. 531, reversing the judgment of the Court of Appeal, 17 Q. B. D. 553) down to the latest moment. One word more: This is not a second edition of a work on Fraud published for me in 1877, though it was at one time thought of making it such. We have seen that to certain cases falling short of (real) fraud the law has given the name 'constructive' fraud, because, in certain particulars, it treats them as if they were cases of fraud.1 Of such cases two divisions may be made, in one of which the burden of proof, instead of resting upon the plaintiff as in proper cases of fraud, rests upon the defendant; in the other the burden rests, in accordance with ordinary principles, upon the plaintiff, the offence however turning, not upon the original purpose, but upon conduct subsequent. The first division embraces transactions between parties in fiduciary, confidential, or kindred relations. chapter I. fiduciary, confidential, and kindred relations. L Fiduciary Relations. 1. The General Principle. When a party, complaining of a particular transaction, such as a gift, sale, or contract, has shown to the court the existence of a fiduciary or a confidential relation between himself and the defendant, and that the defendant occupied the position of trust or confidence therein, the law raises a suspicion or, it is often said, a presumption of fraud; a suspicion 1 Ante, pp. 10-13. or presumption, arising as matter of law,1 that the transaction brought to the notice of the court was effected through fraud or, what comes to much the same thing, undue influence by the opposite party, by reason of his occupying a position affording him peculiar opportunities for taking advantage of the complaining party.
