Corporate Whistleblowing Regulation by Sulette Lombard,Vivienne Brand,Janet Austin Pdf

This book adopts a cross-jurisdictional perspective to consider contemporary corporate whistleblowing issues from an ethical theoretical perspective, regulatory perspective, and practical perspective. It includes in particular arguments in favour of and against the adoption of financial incentive schemes for whistleblowers, as well as the potential implications of adopting such schemes. This approach provides a valuable opportunity for comparison from a law reform perspective. The book brings together authors from various jurisdictions – Canada, Australia, and the USA – who, through their exposure to this area of law, be it as practitioners, regulators, or academics, offer valuable and interesting insights on the emerging and topical area of corporate whistleblowing generally, and whistleblowing rewards in particular. These three jurisdictions were selected on the basis of their reform-oriented stance on corporate whistleblowing and/or implementation of financial incentives for whistleblowing, creating an opportunity to assess contemporary regulatory structures and in particular how incentives measures could interact with corporate whistleblowing regulatory frameworks, and how they could contribute to improved governance. The reasons for the rejection of the notion of financial incentives in the United Kingdom are also reviewed, in order to provide a comparative overview. The book provides useful guidance for those who may be affected by the implementation of corporate whistleblowing schemes, including for reward, whether as regulators, practitioners, company directors, or whistle blowers.

Corporate Governance and Whistleblowing by Moeen Umar Cheema,Rahat Munir,Sophia Su Pdf

Whistleblowing is often about disclosing wrongdoings by members of organisations to persons or organisations that may be able to effect action. Media would at times publish stories of whistleblowers who engage in ‘heroic’ acts of exposing wrongdoings at work, but the whistlebowers often face significant negative consequences of their whistleblowing efforts. This book examines effects of national and organisational cultures on the whistleblowing decisions of employees. The book provides empirical evidence of association between organisational culture and whistleblowing and there appears to be a lower likelihood of whistleblowing in organisations that focus more on the cultural dimensions of respect for people, innovation and stability. It also illustrates how remaining silent or blowing the whistle in response to observed wrongdoings affects employees’ key work-related attitudes. This book would interest those wish to gain better understanding of the relationship between culture and whistleblowing in organisations.

Whistleblowing and Organizational Social Responsibility by Dr Wim Vandekerckhove Pdf

Establishing a policy and building a culture that helps to protect organizations from financial wrong-doing, criminal or civil liability and permanent damage to corporate reputation has become a central theme of contemporary corporate policies towards 'whistleblowing'. This book is amongst the first to provide a detailed and full-length analysis of the meaning and various justifications of whistleblowing policies. While the legitimization of organizational whistleblowing suggests an adaptation of organizations to public opinion, this book examines the wider legitimization whistleblowing policies have been given, considering whether the establishment of 'policies' genuinely leads to the implicit institutionalization of whistleblowing itself. The book's particular focus is upon what kinds of 'whistleblowing' societies and organizations actually want, and whether policies developed as a result meet expectations.

Corporate Governance by Sankatha Singh Pdf

The subject Corporate Governance:Global Concepts and Practices has occupied centre- stage, particularly since the early 1990s in U.K., USA, rest of Europe, Canada, Japan, India and many other developing countries of the world. The present volume is essentially a comprehensive textbook, focusing on both concepts and corporate governance practices. Even before the Enron collapse and several other kingsize scandals, there has been a steadily mounting volume of complaints regarding the dismal state of governance in most large corporates across the globe, mostly relating to accounting irregularities and top dressing of financial results, almost universally perpetrated at the behest of the Company Chairman & CEO himself. Keeping the above ground realities in view, the present volume is intended to be a standard reference as well as textbook on the varied facets of corporate governance. The book has six distinct parts, containing in all as many as twenty-eight interrelated chapters. The first part deals with subjects like business environment, business ethics and social responsibilities, management of a firm, etc., while the second part is concerned with the theory of firm, its objectives, accounting standards and creative accounting practices. Part Three of the book dwells at length on the working of the company board, board committees, need for whistle blowing, corporate governance rating and need for separation of the positions of Chairman and CEO. Part Four presents summary recommendations of five Indian Committees on corporate governance in chronological order. These are (i) CII Committee (1998), (ii) Ist SEBI Committee (1999), (iii) Ganguly Committee-RBI (2002); (iv) Naresh Chandra Committee (2002) and (v) 2nd SEBI Committee (2003). Part Five contains six chapters comprising as many live cases on accounting scams. The sixth part of the book contains governance reports of three world class companies from India, viz., Infosys Technologies Ltd., Wipro, and Reliance Industries Ltd.

The Whistleblowing Case of Sheron Watkins and Enron. Problems of Organizational Ethics by Anonim Pdf

Seminar paper from the year 2022 in the subject Business economics - Business Ethics, Corporate Ethics, grade: 1,7, University Witten/Herdecke, language: English, abstract: This paper deals with the application of theoretical and practical knowledge acquired in the seminar “Ethical Issues in Organizations”. For this paper, we use our self-selected case of the company Enron and the whistleblower Sherron Watkins. The goal of this application is to show how the different levels and issues of organizational ethics matter and interact in the whistleblowing case of Enron. To create an in-depth analysis that answers this question, this paper examines the four dimensions of whistleblowing that were identified in the seminar: Starting with Watkins herself, a comprehensive description of her traits, character, and mindset will be given to gain insights into her personality. The second dimension analyzes all interpersonal relationships Watkins had, that affected her decision-making processes in any way, ranging from family to friends, co-workers, and superiors. The organizational context is the third dimension of this analysis, mainly focusing on the existing (and missing) instruments and environment that helped or hindered Watkins to speak up internally. In the last dimension, the aspects of the societal environment back then will be considered to further understand the social and corporate framework Watkins and Enron had to navigate. Equally important to the independent analysis is to look at the interdimensional connection i.e., combining the findings to create the big picture of the case analysis. Based on these interdimensional connections, the discussion of the case as its whole, further recommendations, and the conclusion of this paper are presented. It should be acknowledged that many of the following statements and views throughout the analytical chapters will be based on personal experiences and are bound to be subjective and therefore unlikely to be the absolute truth. This is especially accurate for all sources that are connected to Sharron Watkins’ personal story, including her book and any interviews with her. As her motivations, actions, and encounters are key to understanding the ethical issues connected to Enron, the risk of individual perception has been considered, but all readers should not neglect the possibility of inconsistencies.

Enhanced Corporate Governance by Frederick Lipman Pdf

This book will discuss in depth various financial disasters which happened in this century to public and non-profit organizations as examples of how even the most diligent and sophisticated boards of director and trustees and CEOs can have unpleasant surprises. This was true even though others in the organization knew of the problem which caused the financial disaster. The book discusses the following scandals and disasters, among others: Theranos (over $700 million in investor losses); General Motors Chevrolet Cobalt (over $2 billion in company losses); Michigan State University (over $500 million in losses); Lehman Bros. (over $30 billion in investor losses); and Enron (over $100 billion in investor losses). The book recommends that boards and CEOs must have a pro-active corporate governance strategy, must understand the culture of the organization, pay attention to legitimate whistleblowers, and must not over-rely on internal risk and control personnel without independent verification. The author is an internationally known authority on corporate governance and has appeared on CNN, CNBC, Bloomberg, Fox Business, and Chinese television and has been quoted in The Wall Street Journal, New York Times and other publications.

Whistling While They Work by Peter Roberts,Alexander Jonathan Brown,Jane Olsen Pdf

This guide sets out results from four years of research into how public sector organisations can better fulfil their missions, maintain their integrity and value their employees by adopting a current best-practice approach to the management of whistleblowing. This guide focuses on: the processes needed for public employees and employees of public contractors to be able to report concerns about wrongdoing in public agencies and programs; and managerial responsibilities for the support, protection and management of those who make disclosures about wrongdoing, as part of an integrated management approach. The guide is designed to assist with the special systems needed for managing 'public interest' whistleblowing-where the suspected or alleged wrongdoing affects more than the personal or private interests of the person making the disclosure. As the guide explains, however, an integrated approach requires having good systems for managing all types of reported wrongdoing-including personal, employment and workplace grievances-not least because these might often be interrelated with 'public interest' matters.

The Corporate Whistleblower's Survival Guide by Tom Devine,Tarek F. Maassarani Pdf

From Erin Brockovich to Enron, whistleblowers who “challenge abuses of power that betray the public trust” have proven to be an unfortunate necessity in modern business culture. Their efforts to report crimes, fraud, and dangers to public health and safety have saved millions of lives and billions of dollars of shareholder value – and had we heeded the warnings of whistleblowers, perhaps disasters such as the Bernie Madoff scandal and the Lehman Brothers meltdown could have been averted. Recent federal legislation in finance and health reform have cemented legal protections and mechanisms for whistleblowing. This book provides a thorough guide and history to the whistleblower's legal rights. The ultimate survival guide, it provides advice on getting help and finding allies, warns that retaliation is often the reward for "committing the truth" and shows how to weather the storm. With extensive legal texts, sample letters, resources, and information on upcoming whistleblower reforms, this is the ultimate source on the subject.
