Developing rules and principles for preparing and implementing acquisition projects by Thorsten Mühl Pdf

Inhaltsangabe:Abstract: Near the beginning in Homer s Odyssey, the son of Odysseus, young Telemachus, had been advised by the goddess of wisdom, Athena, to ask old King Nestor about an important issue, relating to the residence of his father. Telemachus hesitated, explaining his doubts by introversion and insecurity. Telemachus behaviour lives on in the contemporary context of Mergers &Acquisitions where still the most inexperienced, unskilled professionals supposed and expected to know everything long before the process starts. Developing rules and principles for preparing and implementing acquisition projects attempts to provide a general idea about one of the most difficult, vast, complicated, and sometimes immeasurable growth strategies in management, M&A. While M&A activity had been an Anglo-American occurrence during the first merger wave, the process of concentration had changed to a global phenomenon. Financially driven acquisitions and corporate raiders had been popular during the 1980s, the 1990s and the present is faced with strategic M&A. The present research focuses especially on points that are problematical to measure. Part one comprises a basic approach to M&A, including corporate strategy in terms of its characteristics and the element of strategic management. Part two of the thesis is concerned with the entire M&A strategy. Therefore, the acquisition process had been divided into three components: 1. Pre-acquisition process. 2. The transaction-phase. 3. Post-merger Integration Management (PIM). The centralisation of this part and also the whole thesis, is the search and screen process for potential target companies, a marketing and cultural due diligence approach, and the post-merger integration management (in particular the integration of different organisational cultures). To be precise, the author considered these aspects as absolutely elemental, unquestionable and critical for M&A success. As a result, point four (Valuation techniques and financing methods) is only explained incredibly superficial. The final part of the present research - Part three - combines all the various aspects that had been evaluated during the study by providing some guiding principles for M&A success. Furthermore, the terms Mergers and Acquisitions are used interchangeably in the text because in many instances it is not clear whether one or the other is occurring. However, for certain purposes, it is necessary to distinguish the [...]

Development-Induced Displacement and Resettlement in Vietnam by Nguyen Quy Nghi,Jane Singer Pdf

This book explores the complex legal, cultural, economic and human rights issues associated with development-induced displacement and resettlement (DIDR) in Vietnam. As in many parts of the world, urban expansion and large-scale infrastructure projects in Vietnam often rely on forced land acquisition, which can result in the involuntary resettlement of households and entire communities. This book examines the adequacy of monetary and in-kind compensation and the support that resettlees need for successful integration into host communities and for sustainable livelihoods and improved well-being. It presents new paradigms and practices that place affected households at the centre of project planning and implementation to fully address the needs of the most vulnerable. This includes women, the elderly, and ethnic minority groups. Bringing together research evidence, practical experience, and insights of distinguished researchers, this book is the first to systematically examine DIDR in Vietnam, a single-party state seeking to balance state interests with the demands of investors and civil society for human rights and participation by affected people. Combining the latest evidence and research findings on development-induced displacement and resettlement in Vietnam with practical experiences in project implementation, this book will be a useful guide for researchers across development, migration, and Southeast Asian Studies, as well as practitioners and policy makers. Its lessons will also be relevant to other countries facing rapid development.

Challenging the Prevailing Paradigm of Displacement and Resettlement by Michael M. Cernea,Julie K. Maldonado Pdf

Development-caused forced displacement and resettlement (DFDR) is a critical problem on the international development agenda. The frequency of forced displacements is rapidly increasing, the sheer numbers of uprooted and impoverished people reveal fast accelerating trends, whilst government reporting remains poor and misleading. Challenging the Prevailing Paradigm of Displacement and Resettlement analyzes widespread impoverishment outcomes, risks to human rights, and other adverse impacts of displacement; it documents under-compensation of expropriated people, critiques cost externalization on resettlers, and points a laser light on the absence of protective, robust, and binding legal frameworks in the overwhelming majority of developing countries. In response, this book proposes constructive solutions to improve quality and measure the outcomes of forced resettlement, prevent the mass-manufacturing of new poverty, promote social justice, and respect human rights. It also advocates for the reparation of bad legacies left behind by failed resettlement. It brings together prominent scholars and practitioners from several countries who argue that states, development agencies, and private sector corporations which trigger displacements must adopt a "resettlement with development" paradigm. Towards this end, the book’s co-authors translate cutting edge research into legal, economic, financial, policy, and pragmatic operational recommendations. An inspiring and compelling guide to the field, Challenging the Prevailing Paradigm of Displacement and Resettlement will be of interest to university faculty, government officials, private corporations, researchers, and students in anthropology, economics, sociology, law, political science, human geography, and international development.
